THIS IS A LEGALLY REQUIRED DISCLOSURE. Federal law — the Electronic Signatures in Global and National Commerce Act, 15 U.S.C. § 7001 et seq. ("E-SIGN Act") — requires that HL Hunt obtain your affirmative consent before providing you with certain records electronically instead of on paper.

YOUR CONSENT IS VOLUNTARY. You are not required to consent. However, HL Hunt provides its services entirely through electronic channels. If you do not consent, or if you later withdraw your consent, HL Hunt will not be able to open or maintain your account, and your existing account may be closed. See Section 8.

BY CHECKING "I AGREE," CLICKING TO ACCEPT, SUBMITTING AN APPLICATION, ELECTRONICALLY SIGNING ANY DOCUMENT, OR CONTINUING TO USE ANY HL HUNT SERVICE, YOU AFFIRMATIVELY CONSENT TO RECEIVE ALL RECORDS ELECTRONICALLY AND TO THE USE OF ELECTRONIC SIGNATURES, AND YOU CONFIRM THAT YOU ARE ABLE TO ACCESS AND RETAIN ELECTRONIC RECORDS IN THE FORMATS DESCRIBED IN SECTION 5.

This Electronic Signatures and Records Disclosure and Consent (this "E-SIGN Consent") is provided by HL Hunt Inc., a Delaware corporation, and its wholly owned subsidiary HL Hunt Lending LLC (NMLS #2759282) (collectively, "HL Hunt," "we," "us," or "our"), to each consumer, merchant, applicant, borrower, member, cardholder, guarantor, authorized user, or other person who accesses or applies for any HL Hunt product or service ("you" or "your").

This E-SIGN Consent applies across all HL Hunt products and services, including the HL Hunt membership and revolving credit builder, the HL Hunt Marketplace, HL Hunt Pay merchant services, Hunt Score underwriting, business funding, servicing and collections, Metro 2 furnishing software, and any successor or additional product offered by HL Hunt or its affiliates.

This E-SIGN Consent supplements and does not replace any other agreement between you and HL Hunt. It is incorporated by reference into the HL Hunt Payment Services Agreement, the Marketplace and Credit Line Terms, the Metro 2 Software Terms and Conditions, and all other HL Hunt agreements, disclosures, and policies.

Definitions

  • "Communication" means any disclosure, notice, agreement, statement, record, document, receipt, tax form, or other information HL Hunt provides to you, or that you sign or submit to HL Hunt, in connection with your account or any HL Hunt product or service.
  • "E-SIGN Act" means the Electronic Signatures in Global and National Commerce Act, 15 U.S.C. § 7001 et seq., as amended.
  • "Electronic Record" means a Communication created, generated, sent, communicated, received, or stored by electronic means.
  • "Electronic Signature" means an electronic sound, symbol, or process attached to or logically associated with a record and executed or adopted with the intent to sign the record, including clicking "I Agree," checking a consent box, typing your name, drawing a signature, entering a one-time passcode, or using biometric authentication.
  • "Platform" means the HL Hunt website at hlhunt.org, the HL Hunt application at app.hlhunt.org, the HL Hunt mobile applications, the HL Hunt Pay Dashboard, and any other HL Hunt digital interface.
  • "UETA" means the Uniform Electronic Transactions Act as enacted in the applicable jurisdiction, including KRS Chapter 369 in the Commonwealth of Kentucky.

Scope — Records Covered by This Consent

2.1 General Scope

Your consent applies to all Communications between you and HL Hunt, for all accounts, products, and services, on an ongoing basis — not merely to a single transaction or a single document. Your consent remains in effect until you withdraw it under Section 8.

2.2 Categories of Records

Communications delivered electronically under this consent include, without limitation:

Privacy and Data Gramm-Leach-Bliley Act privacy notices, opt-out notices, and data breach notifications where permitted by law
Merchant and Payment Merchant applications, fee schedules, settlement and payout reports, chargeback notices, reserve notices, and sub-processor terms
Tax Records IRS Forms 1099-K, 1099-MISC, 1099-C, and any other applicable information returns
Legal and Regulatory Arbitration notices, error resolution responses, servicing transfer notices, and account closure notices

2.3 Method of Delivery

HL Hunt may deliver Communications by any of the following means, in its discretion:

  • Posting to your account on the Platform, with or without separate notification;
  • Electronic mail to the address you have provided, either with the Communication attached or with a link to it;
  • SMS or push notification directing you to the Platform, subject to applicable messaging consent;
  • In-application message, banner, or modal presented during a session;
  • Any other electronic method reasonably designed to reach you.

HL Hunt reserves the right, but has no obligation, to deliver any Communication on paper.

Your Consent to Electronic Records

By accepting this E-SIGN Consent, you affirmatively consent and agree that:

  • HL Hunt may provide all Communications to you in electronic form only;
  • Electronic delivery satisfies any legal requirement that a Communication be provided to you in writing, be delivered, be posted, or be signed;
  • You may sign, authorize, authenticate, and accept any Communication using an Electronic Signature;
  • You are able to access, view, download, print, and retain Communications in the formats described in Section 5;
  • Your consent applies to HL Hunt Inc., HL Hunt Lending LLC, and each of their affiliates, successors, assigns, service providers, and sub-processors;
  • Your consent applies to Communications concerning any account you hold now or open in the future.

E-SIGN Act Compliance

This disclosure is provided to satisfy the consumer consent requirements of 15 U.S.C. § 7001(c). Your consent is obtained electronically, in a manner that reasonably demonstrates your ability to access information in the electronic form that will be used, as required by 15 U.S.C. § 7001(c)(1)(C)(ii).

Legal Effect of Electronic Signatures

4.1 Equivalence to Handwritten Signature

You agree that your Electronic Signature has the same legal force and effect as an original handwritten signature on paper, and that an Electronic Record has the same legal force and effect as an original paper document. Neither you nor HL Hunt will contest the validity, enforceability, or admissibility of any Communication on the sole ground that it was created, delivered, or signed electronically.

4.2 Forms of Electronic Signature

Any of the following constitutes your Electronic Signature when performed with intent to sign or accept:

  • Clicking a button labeled "I Agree," "Accept," "Submit," "Continue," "Authorize," or similar;
  • Checking a consent or acknowledgment box;
  • Typing your name into a signature field;
  • Drawing a signature with a mouse, stylus, or fingertip;
  • Entering a one-time passcode sent to your registered phone or email;
  • Authenticating with a password, PIN, biometric, or passkey;
  • Replying affirmatively to an SMS or email prompt requesting acceptance.

4.3 Records as Evidence

You agree that HL Hunt's records of Electronic Signatures and Electronic Records — including timestamps, IP addresses, device identifiers, audit trails, and authentication logs — constitute admissible evidence of the content and execution of the associated Communication, and satisfy the business records exception to the hearsay rule. You waive any objection based on the best evidence rule or the absence of an original paper document.

4.4 Attribution

Any Electronic Signature submitted through credentials associated with your account is attributed to you, unless and until you notify HL Hunt that your credentials have been compromised in accordance with Section 17.

Hardware and Software Requirements

To access, view, and retain Electronic Records, you must have the following. These requirements may change; material changes will be disclosed under Section 16.

Browser A current version of Chrome, Safari, Firefox, or Edge, with cookies and JavaScript enabled and support for TLS 1.2 or higher
Email A valid, active email address capable of receiving messages from hlhunt.org, with sufficient storage and without filters that block our messages
PDF Reader Software capable of opening PDF documents, such as Adobe Acrobat Reader or a built-in browser PDF viewer
Retention Capability A printer, or electronic storage on your device or in cloud storage, sufficient to save copies of Communications
Mobile (if applicable) iOS 15 or later, or Android 10 or later, for the HL Hunt mobile applications

You Are Responsible for Retention

HL Hunt does not guarantee that any Communication will remain accessible on the Platform indefinitely. You should download, print, or otherwise save a copy of every Communication for your own records at the time you receive it. Account closure, termination, or a change of platform may end your access.

Demonstration of Access Capability

Federal law requires that you reasonably demonstrate your ability to access Electronic Records in the form in which they will be provided. By reviewing this E-SIGN Consent electronically and then accepting it electronically, you confirm that:

  • You were able to open and read this document in the format presented;
  • You are able to open and read PDF documents;
  • You have access to the email address you provided and are able to receive messages there;
  • You have the ability to print or electronically save Communications for your records;
  • Your device and software meet the requirements in Section 5.

If you are unable to confirm any of the above, do not accept this consent. Contact us at support@hlhunt.org before proceeding.

Right to Receive Paper Copies

7.1 How to Request

You have the right to request a paper copy of any Communication that HL Hunt has provided to you electronically. To request one, contact us by any of the following:

  • Email: support@hlhunt.org, with the subject line "Paper Copy Request"
  • Mail: HL Hunt Inc., Attn: Records Request, 3499 Blazer Parkway, Lexington, KY 40509
  • Platform: Through the support channel in your account

Your request should identify the specific Communication and the date range requested, and provide the mailing address to which the copy should be sent.

7.2 Fees and Timing

  • HL Hunt does not charge a fee for paper copies of legally required disclosures.
  • HL Hunt reserves the right to charge a reasonable fee, not to exceed $5.00 per document plus actual postage, for copies of non-required records or for requests that are repetitive or unduly burdensome. Any fee will be disclosed to you before it is charged.
  • Requests are generally fulfilled within ten (10) business days of receipt, or within any shorter period required by applicable law.
  • HL Hunt is not required to provide paper copies of records older than the retention period described in Section 11.

Requesting a Paper Copy Does Not Withdraw Your Consent

Asking for one or more paper copies has no effect on your consent to receive Communications electronically and will not affect your account. To withdraw consent entirely, follow the procedure in Section 8.

Right to Withdraw Consent

8.1 How to Withdraw

You may withdraw your consent to receive Communications electronically at any time, at no charge, by:

  • Email: support@hlhunt.org, with the subject line "Withdraw E-SIGN Consent"
  • Mail: HL Hunt Inc., Attn: E-SIGN Withdrawal, 3499 Blazer Parkway, Lexington, KY 40509

Your notice must include your full name, the email address and mailing address on your account, and a clear statement that you are withdrawing consent.

8.2 When Withdrawal Takes Effect

Withdrawal becomes effective when HL Hunt has had a reasonable period to act on it, generally within five (5) business days of receipt. Withdrawal is prospective only. It does not affect the validity or enforceability of any Communication provided, or any Electronic Signature made, before the withdrawal took effect.

Consequences of Withdrawing Consent

HL Hunt operates as an electronic-only financial services provider. Electronic delivery is not an optional convenience — it is how the services function. If you withdraw your consent:

(a) HL Hunt may decline to open an account or process a pending application;
(b) HL Hunt may suspend, restrict, or close your existing account and terminate your membership or merchant agreement;
(c) You will lose access to the Platform, including your dashboard, statements, and document history;
(d) Recurring or automated services, including autopay and settlement, may be discontinued.

Withdrawal of consent does not cancel, reduce, or discharge any outstanding balance, obligation, or liability you owe to HL Hunt. All such obligations survive and remain fully enforceable, and HL Hunt will continue to furnish account information to consumer reporting agencies as required.

Keeping Your Contact Information Current

You are solely responsible for maintaining accurate and current contact information with HL Hunt.

  • Update your email address, mailing address, and phone number promptly through your account settings on the Platform, or by writing to support@hlhunt.org.
  • Ensure that messages from hlhunt.org are not blocked by spam filters, and that your inbox has sufficient capacity to receive messages.
  • If an email to your registered address is returned as undeliverable, HL Hunt may attempt redelivery, deliver the Communication by posting it to the Platform, or suspend electronic delivery and your account until valid contact information is provided.
  • HL Hunt is not liable for any loss arising from your failure to maintain a working email address or to monitor your account.

Delivery and Deemed Receipt

A Communication is deemed delivered to and received by you at the earliest of the following:

  • The time HL Hunt sends it to the email address on file, whether or not you open or read it;
  • The time HL Hunt posts it to your account on the Platform, whether or not you log in;
  • The time HL Hunt sends a notification directing you to the Communication;
  • The time you actually access the Communication.

Deemed receipt occurs without regard to whether you actually accessed or read the Communication, provided HL Hunt directed it to the contact information then on file. HL Hunt is not required to confirm that you received or opened any Communication.

Retention of Electronic Records

  • HL Hunt retains Electronic Records for the period required by applicable law, and in no event less than the retention periods mandated by the Truth in Lending Act, the Equal Credit Opportunity Act, the Fair Credit Reporting Act, and the Bank Secrecy Act.
  • Records made available through the Platform are generally accessible to you for twenty-four (24) months following creation, subject to change.
  • HL Hunt maintains Electronic Records in a form capable of accurate reproduction, as required by 15 U.S.C. § 7001(d).
  • Upon account closure, your access to the Platform may end. Download your records before closing your account.
  • Retention by HL Hunt is not a substitute for your own recordkeeping, and HL Hunt disclaims any obligation to serve as your record repository.

Joint Accounts and Authorized Users

  • Where an account has more than one owner, guarantor, or authorized user, delivery of a Communication to any one of them constitutes delivery to all, unless applicable law requires separate delivery.
  • Each account owner, guarantor, and authorized user is individually bound by this E-SIGN Consent and must provide their own consent where required by law.
  • An Electronic Signature by any authorized signer binds the account and all account owners to the extent that signer has authority.
  • For business and merchant accounts, the individual accepting represents that they are an owner, officer, or authorized control person with authority to bind the entity, and that the entity consents to electronic records and signatures.

Third Parties and Sub-Processors

HL Hunt delivers its services through licensed partners, sponsor banks, and sub-processors. Your consent under this E-SIGN Consent extends to Communications delivered by or on behalf of those parties, and to Electronic Signatures executed in connection with their agreements.

  • This consent covers Communications from HL Hunt's sponsor banks, acquirers, payment facilitators, gateways, servicers, and consumer reporting agencies acting in connection with your account.
  • Your Electronic Signature accepting an HL Hunt agreement also serves as your Electronic Signature on any sub-processor agreement incorporated into that agreement by reference, as set forth in the applicable HL Hunt terms.
  • Third parties may maintain their own electronic records disclosures and consent requirements, which are in addition to, and not in place of, this E-SIGN Consent.
  • HL Hunt is not responsible for the electronic delivery practices of any third party with whom you contract independently.

Records Excluded by Law

The E-SIGN Act excludes certain categories of records from electronic delivery. Where any of the following applies to a Communication, HL Hunt will deliver it by the method required by law rather than electronically:

  • Court orders, notices, pleadings, and other official court documents;
  • Notices of default, acceleration, repossession, foreclosure, eviction, or the right to cure under a credit agreement secured by your primary residence;
  • Notices of cancellation or termination of utility services;
  • Notices of cancellation or termination of health insurance or life insurance benefits;
  • Notices of product recall or of a material defect creating a risk to health or safety;
  • Documents required by law to accompany the transportation of hazardous materials;
  • Any other record for which electronic delivery is prohibited by applicable federal or state law.

Nothing in this E-SIGN Consent waives any right you have to receive a record in a particular form where the law requires it.

Federal Preemption and State Law

This E-SIGN Consent is given under and governed by the E-SIGN Act and, to the extent applicable, UETA as enacted in the Commonwealth of Kentucky and in your state of residence.

  • Where state law would otherwise require a paper record or a handwritten signature, the E-SIGN Act preempts that requirement to the extent permitted by 15 U.S.C. § 7002.
  • Where your state provides greater protection than the E-SIGN Act and is not preempted, that protection applies.
  • This E-SIGN Consent is construed under the laws of the Commonwealth of Kentucky, without regard to conflict of laws principles, except where the law of your state of residence governs by operation of law.
  • If any provision is held unenforceable, the remainder continues in full force, and the unenforceable provision is modified to the minimum extent necessary to make it enforceable.

Changes to This Consent

  • HL Hunt may amend this E-SIGN Consent at any time by posting a revised version to the Platform or delivering it to you electronically.
  • Where an amendment materially changes the hardware or software requirements in Section 5 in a way that creates a material risk you will be unable to access Communications, HL Hunt will provide notice and a renewed opportunity to consent, as required by 15 U.S.C. § 7001(c)(1)(D).
  • For all other amendments, HL Hunt will provide not less than thirty (30) days' notice before the change takes effect, unless a shorter period is required by law or necessary for security reasons.
  • Your continued use of any HL Hunt service after the effective date of an amendment constitutes acceptance of the amended E-SIGN Consent. If you do not accept an amendment, your remedy is to withdraw consent under Section 8.

Security and Fraud

  • You are responsible for safeguarding your credentials, devices, and any one-time passcodes sent to you, and for all activity conducted through your account.
  • Notify HL Hunt immediately at security@hlhunt.org if you suspect unauthorized access to your account, email, or phone number.
  • HL Hunt will never ask you for your password by email, text, or phone. Communications requesting your password are fraudulent and should be reported.
  • HL Hunt may suspend electronic delivery or require re-authentication where it reasonably suspects compromise, fraud, or unauthorized access.
  • Email is not a fully secure medium. Where a Communication contains sensitive information, HL Hunt may send only a notification and require you to log in to the Platform to view it.

All legitimate HL Hunt communications originate from the hlhunt.org domain. HL Hunt does not use hlhunt.com or any other domain for customer communications. Treat messages from other domains as fraudulent and report them to security@hlhunt.org.

Consumer Acknowledgment and Consent

By checking "I Agree," clicking to accept, or continuing to use any HL Hunt service, you acknowledge and agree that:

  • You have read and understood this E-SIGN Consent in its entirety;
  • You consent to receive all Communications electronically, on an ongoing basis, for all current and future accounts;
  • You consent to the use of Electronic Signatures, which have the same legal effect as handwritten signatures;
  • You have the hardware and software described in Section 5, and you have demonstrated your ability to access Electronic Records by reviewing and accepting this document electronically;
  • You understand your right to request paper copies under Section 7, and any applicable fee;
  • You understand your right to withdraw consent under Section 8, how to do so at no charge, and that withdrawal may result in closure of your account;
  • You understand that withdrawing consent does not discharge any outstanding obligation you owe;
  • You will keep your contact information current, and you understand that Communications are deemed received when sent or posted;
  • Your consent extends to HL Hunt's affiliates, sponsor banks, servicers, and sub-processors;
  • If accepting on behalf of a business, you have authority to bind that business.
