PLEASE READ THESE TERMS CAREFULLY BEFORE USING OUR SERVICES

These Terms and Conditions ("Terms" or "Agreement") constitute a legally binding contract between you ("User," "Member," "You," or "Your") and HL Hunt Inc., a Kentucky C-Corporation ("HL Hunt," "Company," "We," "Us," or "Our"), governing your participation in the HL Hunt Marketplace and your use of the HL Hunt Credit Line issued under the HL Hunt Credit Builder Program.

BY ENROLLING IN AN HL HUNT MEMBERSHIP, ACCESSING THE MARKETPLACE, ACCEPTING A CREDIT LINE, OR OTHERWISE USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY ALL TERMS AND CONDITIONS SET FORTH IN THIS AGREEMENT. If you do not agree to these Terms, do not enroll, access, or use our services.

This Agreement contains important provisions regarding the nature of the Credit Line, payment obligations, fee structures, limitations of liability, disclaimers of warranties, mandatory arbitration, class action waiver, and other terms that affect your legal rights. You are strongly encouraged to consult with legal counsel before accepting these Terms.

Critical Payment Structure Notice — Read Carefully

YOUR MONTHLY MEMBERSHIP MAINTENANCE FEE IS A SEPARATE OBLIGATION FROM YOUR CREDIT LINE BALANCE. The Monthly Maintenance Fee is required to keep your account active and in good standing. THE MONTHLY MAINTENANCE FEE DOES NOT REDUCE, PAY DOWN, OR APPLY TOWARD YOUR CREDIT LINE BALANCE IN ANY WAY. Your Credit Line Balance must be paid separately through additional voluntary payments. Failure to understand this distinction does not excuse non-payment of either obligation. See Sections 6 and 7 for complete details.

1. Introduction and Acceptance

1.1 Purpose of Agreement

1.2 Acceptance of Terms

  • By enrolling in an HL Hunt membership, You represent and warrant that You have the legal capacity and authority to enter into this binding Agreement.
  • You represent and warrant that You are at least eighteen (18) years of age, or the age of legal majority in Your jurisdiction if higher.
  • If enrolling on behalf of a business entity, You represent and warrant that You have the authority to bind such entity to this Agreement.
  • Your continued use of the Marketplace or Credit Line constitutes ongoing acceptance of these Terms as amended from time to time.
  • Failure to read or understand this Agreement does not excuse non-compliance with its terms.
  • Electronic acceptance of this Agreement shall have the same legal effect as a handwritten signature.

1.3 Entire Agreement

Important Legal Notice

This Agreement contains a binding arbitration provision and class action waiver in Section 17 that affects Your legal rights. By accepting this Agreement, You agree to resolve disputes through individual arbitration and waive Your right to participate in class actions. Please read Section 17 carefully.

2. Definitions

For purposes of this Agreement, the following terms shall have the meanings set forth below.

2.1 Service-Related Definitions

  • "HL Hunt" or "Company" refers to HL Hunt Inc., a C-Corporation organized under the laws of the Commonwealth of Kentucky, and its successors, assigns, affiliates, subsidiaries, officers, directors, employees, agents, and representatives.
  • "Marketplace" refers to the HL Hunt Marketplace, a proprietary, closed-loop digital platform offering goods and services exclusively to HL Hunt members.
  • "Credit Line" refers to the HL Hunt Credit Line, a revolving virtual tradeline issued for use solely within the HL Hunt Marketplace under the HL Hunt Credit Builder Program.
  • "User," "Member," "You," or "Your" refers to any individual or business entity that enrolls in an HL Hunt membership, accesses the Marketplace, or uses the Credit Line.
  • "Membership" refers to the subscription-based relationship between HL Hunt and Member, including all tiers, benefits, and associated obligations.

2.2 Payment-Related Definitions

  • "Monthly Maintenance Fee" refers to the recurring monthly fee required to maintain Your account in active, good standing status. THIS FEE DOES NOT REDUCE OR APPLY TOWARD YOUR CREDIT LINE BALANCE.
  • "Credit Line Balance" refers to the total outstanding amount owed for Marketplace purchases made using Your Credit Line, which must be paid separately from the Monthly Maintenance Fee.
  • "Balance Payment" refers to voluntary payments made by You specifically to reduce Your Credit Line Balance, which are separate from and in addition to the Monthly Maintenance Fee.
  • "Statement" refers to the monthly billing statement showing Your Credit Line Balance, Marketplace activity, fees due, and payment history.
  • "Billing Cycle" refers to the monthly period used to calculate Your Statement, typically ending on the same date each month.

2.3 Account Status Definitions

  • "Good Standing" refers to an account status where the Monthly Maintenance Fee is current and paid on time.
  • "Delinquent" refers to an account status where the Monthly Maintenance Fee is more than thirty (30) days past due.
  • "Default" refers to an account status where the Monthly Maintenance Fee is more than sixty (60) days past due, or where You have materially breached this Agreement.
  • "Revolving Credit" refers to the ability to carry a Credit Line Balance from one Billing Cycle to the next while maintaining Good Standing through timely payment of the Monthly Maintenance Fee.

3. HL Hunt Marketplace

The HL Hunt Marketplace is a proprietary, closed-loop digital platform exclusively available to HL Hunt members.

3.1 Nature of the Marketplace

  • The Marketplace is a curated selection of goods and services offered exclusively to HL Hunt members through the HL Hunt platform.
  • The Marketplace operates as a closed-loop system accessible only at www.hlhunt.org/marketplace or such other URL as HL Hunt may designate.
  • Products and services available through the Marketplace are subject to availability, and HL Hunt reserves the right to add, remove, or modify offerings at any time without notice.
  • Marketplace pricing, product descriptions, and availability are subject to change without notice.
  • HL Hunt is the sole operator of the Marketplace and all transactions occur directly between You and HL Hunt.

3.2 Marketplace Access

  • Access to the Marketplace requires an active HL Hunt membership in Good Standing.
  • Marketplace access may be suspended or terminated if Your account becomes Delinquent or enters Default.
  • HL Hunt reserves the right to limit, suspend, or terminate Marketplace access at any time for any reason.
  • You are responsible for maintaining the security of Your account credentials and for all activity occurring under Your account.

3.3 Orders and Fulfillment

  • All orders placed through the Marketplace are subject to acceptance by HL Hunt. HL Hunt reserves the right to refuse or cancel any order for any reason.
  • Product descriptions, images, and specifications are provided for informational purposes and may not exactly match delivered products.
  • Shipping times, methods, and costs are as indicated at the time of order and are subject to change.
  • Risk of loss for shipped products passes to You upon delivery to the carrier.
  • Returns, exchanges, and refunds are subject to HL Hunt's return policy, which may be modified from time to time.

3.4 Marketplace Modifications

4. HL Hunt Credit Line

This section describes the nature and characteristics of the HL Hunt Credit Line. It is essential that You fully understand what the Credit Line is and what it is not.

4.1 Nature of the Credit Line

  • The HL Hunt Credit Line is a revolving virtual tradeline issued for use SOLELY WITHIN THE HL HUNT MARKETPLACE and for no other purpose.
  • The Credit Line is designed to help personal and business members build a verifiable credit history that may be reported to applicable credit bureaus.
  • THE CREDIT LINE IS NOT A TRADITIONAL CREDIT CARD. It cannot be used at any retailer, merchant, website, or point of sale outside of the HL Hunt Marketplace.
  • THE CREDIT LINE IS NOT A CASH ADVANCE PRODUCT. It cannot be withdrawn as cash, transferred to bank accounts, or converted to cash or cash equivalents in any way.
  • THE CREDIT LINE IS NOT A GENERAL-PURPOSE LINE OF CREDIT. It has no value or utility outside of the HL Hunt Marketplace ecosystem.
  • The Credit Line operates as a closed-loop revolving credit facility exclusively within the HL Hunt platform.

4.2 Credit Line Amount and Terms

  • The Credit Line amount is determined solely by HL Hunt based on factors including, but not limited to, membership tier, account history, payment behavior, and HL Hunt's internal policies.
  • HL Hunt reserves the absolute right to set, adjust, increase, decrease, or eliminate the Credit Line amount at any time, for any reason, without prior notice.
  • Credit Line limits, terms, and features may vary by membership tier.
  • HL Hunt may establish different Credit Line amounts for different Members at its sole discretion.

4.3 Revolving Credit Feature

  • The Credit Line operates as revolving credit, meaning You may carry a balance from one Billing Cycle to the next.
  • TO MAINTAIN REVOLVING CREDIT PRIVILEGES, YOU MUST PAY THE MONTHLY MAINTENANCE FEE ON TIME EACH MONTH.
  • Payment of the Monthly Maintenance Fee keeps Your account in Good Standing and allows You to continue carrying a balance.
  • The Monthly Maintenance Fee does not reduce Your Credit Line Balance; it is a separate fee for account maintenance.
  • Failure to pay the Monthly Maintenance Fee will result in account Delinquency and potential loss of revolving credit privileges.

4.4 Tradeline Reporting

  • HL Hunt may report Your Credit Line activity to major consumer and/or business credit bureaus, including but not limited to Equifax, Experian, TransUnion, Dun & Bradstreet, and others.
  • Reporting may include: account status, credit limit, credit utilization, payment history, balance information, and delinquencies.
  • Reporting may influence Your credit profile, but HL Hunt does not guarantee any particular credit outcome. See Section 9 for complete disclaimers.
  • HL Hunt reports to credit bureaus at its sole discretion and may change, suspend, or discontinue reporting at any time without notice.

Credit Line Limitation

THE HL HUNT CREDIT LINE MAY ONLY BE USED TO MAKE PURCHASES WITHIN THE HL HUNT MARKETPLACE. IT CANNOT BE USED ANYWHERE ELSE, CANNOT BE CONVERTED TO CASH, AND HAS NO VALUE OUTSIDE OF THE HL HUNT ECOSYSTEM. BY ACCEPTING A CREDIT LINE, YOU ACKNOWLEDGE AND UNDERSTAND THESE LIMITATIONS.

5. Credit Line Usage Restrictions

This section establishes the restrictions and prohibited uses of the HL Hunt Credit Line.

5.1 Authorized Use

  • The Credit Line may be used ONLY to purchase approved products and services within the HL Hunt Marketplace.
  • Use is limited to the Member to whom the Credit Line was issued; Credit Lines are non-transferable.
  • All purchases are subject to Credit Line availability and HL Hunt's approval.

5.2 Prohibited Uses

  • Any purchase, transaction, or activity outside of the HL Hunt Marketplace.
  • Cash withdrawals, cash advances, or conversion to cash or cash equivalents.
  • Transfer to any third party, bank account, payment service, or other financial account.
  • Transactions involving prohibited, illegal, or controlled products or substances.
  • Reselling, redistributing, or commercial resale of goods or services purchased through the Marketplace.
  • Activities that violate federal, state, local, or international law.
  • Any personal or business use deemed high-risk, fraudulent, or abusive by HL Hunt in its sole discretion.
  • Circumventing any limitations, restrictions, or controls imposed by HL Hunt.

5.3 Consequences of Prohibited Use

  • Any attempt to use the Credit Line outside of the HL Hunt Marketplace or for prohibited purposes may result in immediate account suspension or termination.
  • HL Hunt reserves the right to decline any transaction that does not comply with these usage restrictions.
  • Violations may be reported to credit bureaus as account closure for cause, which may negatively impact Your credit.
  • HL Hunt reserves the right to pursue legal remedies for fraudulent or prohibited use.

6. Fee Structure and Payment Obligations

THIS SECTION CONTAINS CRITICAL INFORMATION ABOUT YOUR PAYMENT OBLIGATIONS. PLEASE READ CAREFULLY.

Critical Fee Structure Disclosure

YOU HAVE TWO SEPARATE PAYMENT OBLIGATIONS:

1. MONTHLY MAINTENANCE FEE: A recurring monthly fee required to keep Your account active and in Good Standing. This fee is mandatory and must be paid each month. THIS FEE DOES NOT REDUCE YOUR CREDIT LINE BALANCE.

2. CREDIT LINE BALANCE: The total amount You owe for Marketplace purchases. This balance must be paid separately through voluntary Balance Payments. THE MONTHLY MAINTENANCE FEE DOES NOT PAY DOWN THIS BALANCE.

These are separate obligations. Paying the Monthly Maintenance Fee keeps Your account active but does not reduce what You owe for purchases.

6.1 Monthly Maintenance Fee

  • The Monthly Maintenance Fee is a recurring fee charged each Billing Cycle to maintain Your account in active, Good Standing status.
  • The Monthly Maintenance Fee amount is established based on Your membership tier and is disclosed at the time of enrollment and in Your monthly Statement.
  • THE MONTHLY MAINTENANCE FEE IS NOT A PAYMENT TOWARD YOUR CREDIT LINE BALANCE. It is a separate fee for the service of maintaining Your account.
  • THE MONTHLY MAINTENANCE FEE DOES NOT REDUCE, PAY DOWN, OR APPLY TOWARD YOUR CREDIT LINE BALANCE IN ANY WAY.
  • Payment of the Monthly Maintenance Fee is required to maintain Good Standing, access revolving credit privileges, and continue positive credit bureau reporting.
  • The Monthly Maintenance Fee is due on the date specified in Your Statement each Billing Cycle.
  • HL Hunt reserves the right to modify the Monthly Maintenance Fee amount with at least thirty (30) days' prior notice.

6.2 Credit Line Balance and Balance Payments

  • Your Credit Line Balance represents the total outstanding amount owed for purchases made through the Marketplace using Your Credit Line.
  • YOUR CREDIT LINE BALANCE MUST BE PAID SEPARATELY FROM THE MONTHLY MAINTENANCE FEE.
  • Balance Payments are voluntary payments You make specifically to reduce Your Credit Line Balance.
  • You may make Balance Payments at any time through Your account dashboard or by contacting HL Hunt.
  • Balance Payments are applied to Your Credit Line Balance and reduce the amount You owe.
  • There is no required minimum Balance Payment amount, but failure to pay down Your balance over time will result in continued obligation.
  • Your Credit Line Balance remains outstanding until paid in full through Balance Payments, regardless of Monthly Maintenance Fee payments.

6.3 Payment Methods and Authorization

  • You must provide a valid payment method acceptable to HL Hunt, which may include credit card, debit card, ACH bank transfer, or other methods as offered.
  • By agreeing to these Terms, You authorize HL Hunt to initiate recurring charges to Your designated payment method for the Monthly Maintenance Fee and any other fees due.
  • You are responsible for ensuring Your payment method remains valid and has sufficient funds.
  • Failed payments due to insufficient funds, expired cards, or other Member-caused issues may result in fees and negative credit reporting.
  • HL Hunt may retry failed payments and may charge applicable fees for returned or declined payments.

6.4 Monthly Statement

  • You will receive a monthly Statement at the end of each Billing Cycle.
  • Your Statement will show: Credit Line Balance, Marketplace purchases during the Billing Cycle, Monthly Maintenance Fee due, payment due date, payment history, and any fees or charges.
  • Review Your Statement carefully each month. Failure to receive or review Your Statement does not excuse payment obligations.
  • Disputes regarding Statement accuracy must be submitted in writing within thirty (30) days of the Statement date.

7. Revolving Credit and Balance Terms

This section explains how revolving credit works within the HL Hunt Credit Line structure.

7.1 Revolving Credit Explained

  • The HL Hunt Credit Line operates as revolving credit, allowing You to carry a Credit Line Balance from one Billing Cycle to the next.
  • TO MAINTAIN REVOLVING CREDIT PRIVILEGES: You must pay the Monthly Maintenance Fee on time each month.
  • As long as You pay the Monthly Maintenance Fee on time, Your account remains in Good Standing and You may continue to carry a balance.
  • Revolving credit allows You to make Marketplace purchases up to Your available credit limit while carrying an existing balance.
  • Your available credit is calculated as: Credit Limit minus Current Credit Line Balance.

7.2 How the Balance Works

  • When You make a purchase through the Marketplace using Your Credit Line, the purchase amount is added to Your Credit Line Balance.
  • Your Credit Line Balance accumulates with each purchase and carries forward each Billing Cycle.
  • Your Credit Line Balance is reduced ONLY when You make a voluntary Balance Payment specifically designated to pay down the balance.
  • PAYING THE MONTHLY MAINTENANCE FEE DOES NOT REDUCE YOUR CREDIT LINE BALANCE. The Monthly Maintenance Fee is a separate fee for account maintenance.
  • Your Credit Line Balance remains outstanding and owed to HL Hunt until paid in full through Balance Payments.

7.3 Example of Payment Structure

  • Month 1: You make $200 in Marketplace purchases. Your Credit Line Balance is $200. You pay the $29 Monthly Maintenance Fee. Your Credit Line Balance remains $200.
  • Month 2: You make $100 in additional purchases. Your Credit Line Balance is now $300. You pay the $29 Monthly Maintenance Fee. Your Credit Line Balance remains $300.
  • Month 3: You make no purchases. You pay the $29 Monthly Maintenance Fee AND make a $50 Balance Payment. Your Credit Line Balance is now $250.
  • Result: After three months, You have paid $87 in Monthly Maintenance Fees (which kept Your account active) and $50 in Balance Payments (which reduced Your balance from $300 to $250).

7.4 Balance Payment Options

  • You may make Balance Payments at any time in any amount through Your account dashboard.
  • Balance Payments are applied to Your Credit Line Balance and reduce the amount owed.
  • You may pay Your entire Credit Line Balance at any time without penalty.
  • There is no minimum Balance Payment requirement, but carrying a balance indefinitely means the amount remains owed.
  • HL Hunt encourages You to make regular Balance Payments to reduce Your outstanding obligation.

7.5 Interest and Finance Charges

  • As of the Effective Date of these Terms, HL Hunt does not charge interest or finance charges on Credit Line Balances.
  • HL Hunt reserves the right to introduce interest or finance charges in the future with at least sixty (60) days' prior written notice.
  • If interest or finance charges are introduced, they will be disclosed in accordance with the Truth in Lending Act (TILA) and applicable regulations.
  • Your continued use of the Credit Line after such notice constitutes acceptance of the modified terms.

Balance Responsibility

Your Credit Line Balance remains Your obligation until paid in full. The Monthly Maintenance Fee keeps Your account active but does not pay off Your purchases. You are responsible for making separate Balance Payments to reduce and eventually eliminate Your Credit Line Balance. Failure to pay Your balance does not excuse the obligation, and unpaid balances may be subject to collection and negative credit reporting upon account termination.

8. Credit Reporting Disclosure

This section describes HL Hunt's credit reporting practices and important limitations.

8.1 Reporting Practices

  • HL Hunt MAY report Your Credit Line activity to major consumer and/or business credit bureaus, including but not limited to Equifax, Experian, TransUnion, Dun & Bradstreet, Experian Business, and Equifax Business.
  • Reported information may include: account status, credit limit, credit utilization, payment history (based on Monthly Maintenance Fee payments), balance information, delinquencies, and account closure.
  • HL Hunt reports to credit bureaus at its sole discretion and may change, suspend, or discontinue reporting at any time without notice.
  • The frequency, timing, and content of reports are determined solely by HL Hunt.

8.2 Payment History Reporting

  • Payment history reported to credit bureaus is based on Your timely payment of the Monthly Maintenance Fee.
  • Timely payment of the Monthly Maintenance Fee may be reported as on-time payment activity.
  • Late payment of the Monthly Maintenance Fee may be reported as delinquent activity.
  • Balance Payments are not separately reported as payment activity; they affect reported balance and utilization.

8.3 Credit Bureau Independence

  • Credit bureaus are independent third parties over which HL Hunt has no control, influence, or authority.
  • HL Hunt does not control whether any credit bureau accepts, processes, displays, or utilizes reported information.
  • HL Hunt does not control how credit bureaus interpret, weigh, score, or present reported information.
  • Each credit bureau has its own policies, procedures, algorithms, and criteria that are not controlled by HL Hunt.

8.4 Disputes and Corrections

  • If You identify any errors in Your credit reporting related to Your HL Hunt account, You must notify HL Hunt in writing at compliance@hlhunt.com within thirty (30) days of the disputed entry.
  • HL Hunt will investigate disputes and, if necessary, file corrections with the relevant bureaus in accordance with the Fair Credit Reporting Act (FCRA).
  • You may also dispute information directly with the credit bureaus in accordance with FCRA procedures.

9. No Guarantees Disclaimer

THIS SECTION CONTAINS CRITICAL DISCLAIMERS. PLEASE READ CAREFULLY.

No Guarantee of Credit Results

HL HUNT MAKES ABSOLUTELY NO GUARANTEES, REPRESENTATIONS, OR WARRANTIES REGARDING ANY CREDIT SCORE INCREASE, CREDIT PROFILE IMPROVEMENT, CREDIT BUREAU POSTING, OR ANY OTHER CREDIT-RELATED OUTCOME AS A RESULT OF YOUR PARTICIPATION. RESULTS VARY AND ARE NOT GUARANTEED.

9.1 No Guarantee of Credit Score Improvement

  • HL HUNT DOES NOT GUARANTEE ANY INCREASE IN YOUR CREDIT SCORE. Credit scores are determined by credit bureaus using proprietary algorithms over which HL Hunt has no control.
  • HL HUNT DOES NOT GUARANTEE ANY SPECIFIC POINT INCREASE in any credit score, whether one (1) point, ten (10) points, fifty (50) points, one hundred (100) points, or any other amount.
  • HL HUNT DOES NOT GUARANTEE ANY IMPROVEMENT in Your credit profile, creditworthiness assessment, or credit standing.
  • Past results achieved by other Members do not guarantee similar results for You.

9.2 No Guarantee of Bureau Posting

  • HL HUNT DOES NOT GUARANTEE THAT YOUR ACCOUNT WILL BE POSTED TO ANY CREDIT BUREAU.
  • HL Hunt does not guarantee that any credit bureau will accept, process, or display reported information.
  • HL Hunt does not guarantee that reported information will appear on Your credit report.
  • HL Hunt does not guarantee that reported information will remain on Your credit report for any period of time.
  • Credit bureaus have sole discretion over what information they accept, process, display, and retain.

9.3 No Guarantee of Credit Approval

  • HL HUNT DOES NOT GUARANTEE APPROVAL FOR ANY LOAN, CREDIT CARD, MORTGAGE, OR ANY OTHER CREDIT PRODUCT from any lender as a result of Your participation.
  • Lenders make independent credit decisions using their own criteria over which HL Hunt has no control.
  • HL Hunt is not a lender and does not make credit decisions for any third party.

9.4 Acknowledgment

  • You understand that no credit score increase is guaranteed.
  • You understand that no specific point increase is guaranteed.
  • You understand that credit bureau posting is not guaranteed.
  • You understand that credit approval from third parties is not guaranteed.
  • You are participating with full knowledge of these limitations.
  • You will not hold HL Hunt responsible for any failure to achieve desired credit outcomes.

10. Eligibility and Membership

This section establishes eligibility requirements and membership terms.

10.1 Eligibility Requirements

  • Be at least eighteen (18) years of age, or the age of legal majority in Your jurisdiction.
  • Have the legal capacity to enter into a binding contract.
  • Have a valid Social Security Number (SSN) for personal accounts, or Employer Identification Number (EIN) for business accounts.
  • Successfully complete Know Your Customer (KYC) or Know Your Business (KYB) verification as required by HL Hunt.
  • Maintain an active HL Hunt membership (personal or business) in Good Standing.
  • Provide accurate, complete, and truthful information during enrollment and throughout Your membership.
  • Not have any prior account with HL Hunt that was terminated for cause, fraud, or non-payment.

10.2 Membership Types and Tiers

  • HL Hunt offers multiple personal and business membership plans at various tiers.
  • Credit Line eligibility, credit limits, spending limits, and account features may vary by membership tier.
  • Monthly Maintenance Fee amounts may vary by membership tier.
  • Current membership tiers, benefits, and pricing are available at www.hlhunt.org.
  • HL Hunt reserves the right to modify membership tiers, benefits, and pricing at any time with appropriate notice.

10.3 Verification and Documentation

  • HL Hunt reserves the right to request additional documentation or verification at any time.
  • Failure to provide requested documentation may result in account suspension or termination.
  • Providing false, misleading, or incomplete information constitutes grounds for immediate termination.

11. Account Suspension and Termination

This section describes the circumstances and consequences of account suspension and termination.

11.1 Suspension by HL Hunt

  • The Monthly Maintenance Fee is past due.
  • You breach any term of this Agreement.
  • Fraudulent, suspicious, or unauthorized activity is detected.
  • You fail to provide requested verification or documentation.
  • HL Hunt determines suspension is necessary to protect its interests or comply with law.

11.2 Termination by HL Hunt

  • Account Delinquency or Default.
  • Fraud, misrepresentation, or provision of false information.
  • Material breach of this Agreement.
  • Prohibited use of the Credit Line or Marketplace.
  • Conduct harmful to HL Hunt's business or reputation.
  • At HL Hunt's sole discretion for any other reason.

11.3 Termination by User

  • You may terminate Your membership at any time by providing written notice to HL Hunt.
  • Upon termination, You remain responsible for all unpaid Monthly Maintenance Fees through the termination date.
  • UPON TERMINATION, YOUR ENTIRE CREDIT LINE BALANCE BECOMES IMMEDIATELY DUE AND PAYABLE IN FULL.
  • Your Credit Line will be closed and no further Marketplace purchases will be permitted.
  • Credit reporting will reflect Your account closure in accordance with applicable law.

11.4 Effects of Termination

  • Upon termination, all rights and benefits under this Agreement cease immediately.
  • All outstanding obligations, including Credit Line Balance, remain due and payable.
  • Termination for cause (fraud, non-payment, breach) will be reported to credit bureaus and may significantly damage Your credit.
  • Provisions of this Agreement that by their nature should survive termination shall survive, including Sections 12, 14, 15, 16, and 17.

Balance Due Upon Termination

If Your account is terminated for any reason, Your entire Credit Line Balance becomes immediately due and payable in full. You cannot continue to carry a balance after termination. Failure to pay may result in collection action and negative credit reporting.

12. Collections and Default

This section describes HL Hunt's rights and remedies in the event of Delinquency or Default.

12.1 Late Payments and Delinquency

  • Monthly Maintenance Fees not received by the due date are considered late.
  • Late payments may result in late fees as disclosed in Your membership agreement.
  • Accounts with Monthly Maintenance Fees more than thirty (30) days past due are considered Delinquent.
  • Delinquent accounts may be reported to credit bureaus as delinquent.
  • Delinquent accounts may have Marketplace access and Credit Line privileges suspended.

12.2 Default

  • Accounts with Monthly Maintenance Fees more than sixty (60) days past due are considered in Default.
  • Default may also occur upon material breach of this Agreement.
  • Upon Default, Your entire Credit Line Balance becomes immediately due and payable in full.
  • Default will be reported to credit bureaus and may significantly damage Your credit.
  • Defaulted accounts will be terminated.

12.3 Collection Remedies

  • Report Delinquency, Default, and charge-off to all credit bureaus.
  • Refer Your account to third-party collection agencies.
  • Pursue legal action to recover amounts owed, plus costs, attorney fees, and interest as permitted by law.
  • Recover all legal, administrative, and collection costs from You.
  • Offset amounts owed against any amounts owed to You by HL Hunt.
  • Exercise any other lawful collection method.

12.4 Amounts Subject to Collection

  • All unpaid Monthly Maintenance Fees.
  • The entire outstanding Credit Line Balance.
  • All applicable late fees and penalties.
  • Collection costs and fees.
  • Attorney fees and legal costs as permitted by law.
  • Interest on unpaid amounts as permitted by law.

13. Regulatory Disclosures

This section provides important regulatory disclosures regarding HL Hunt and the services provided.

13.1 Corporate Status

  • HL Hunt Inc. is a financial technology company organized as a C-Corporation under the laws of the Commonwealth of Kentucky.
  • HL HUNT IS NOT A BANK, CREDIT UNION, OR DEPOSIT-TAKING INSTITUTION.
  • HL Hunt is not regulated as a bank or depository institution.
  • Your Credit Line is not a deposit product and is not insured by the FDIC, NCUA, or any governmental agency.
  • HL Hunt does not accept deposits and does not pay interest on account balances.

13.2 Truth in Lending Act (TILA) Compliance

  • HL Hunt provides clear disclosure of credit terms in accordance with the Truth in Lending Act (TILA) and Regulation Z.
  • Credit disclosures are provided upon account activation and include: credit limit, fee structure, repayment obligations, due dates, and potential fees.
  • If HL Hunt introduces interest or finance charges in the future, additional disclosures will be provided in accordance with TILA requirements.

13.3 Fair Credit Reporting Act (FCRA) Compliance

  • HL Hunt reports credit information to credit bureaus in accordance with the Fair Credit Reporting Act (FCRA).
  • You have the right to dispute inaccurate information as described in Section 8.4.
  • HL Hunt investigates disputes in accordance with FCRA requirements.

13.4 State Regulatory Compliance

  • HL Hunt complies with applicable state laws governing credit services, consumer protection, and related matters.
  • Certain rights or remedies may vary by state. Nothing in this Agreement shall be construed to limit any rights You have under applicable state law that cannot be waived.

14. Disclaimer of Warranties

THIS SECTION CONTAINS IMPORTANT WARRANTY DISCLAIMERS.

14.1 "As Is" Provision

  • IMPLIED WARRANTIES OF MERCHANTABILITY.
  • IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE.
  • IMPLIED WARRANTIES OF NON-INFRINGEMENT.
  • WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE.
  • WARRANTIES THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.
  • WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

14.2 No Warranties Regarding Credit Outcomes

  • HL Hunt makes no warranty that the services will result in any credit score improvement.
  • HL Hunt makes no warranty that any tradeline will be posted to any credit bureau.
  • HL Hunt makes no warranty that You will qualify for any financing product.
  • HL Hunt makes no warranty regarding the accuracy, completeness, or timeliness of any credit reporting.

14.3 Marketplace Product Warranties

  • Products sold through the Marketplace may have manufacturer warranties. HL Hunt is not responsible for manufacturer warranties.
  • HL Hunt makes no warranty regarding the quality, suitability, or fitness of products sold through the Marketplace beyond any express warranty provided at the time of sale.

15. Limitation of Liability

THIS SECTION CONTAINS IMPORTANT LIMITATIONS ON HL HUNT'S LIABILITY.

15.1 Exclusion of Consequential Damages

  • Loss of profits, revenue, business, or anticipated savings.
  • Loss of data or information.
  • Loss of goodwill or reputation.
  • Denial of credit or financing by any third party.
  • Any credit score decrease or credit damage.
  • Any other indirect or consequential loss or damage.

15.2 Cap on Liability

  • The total amount of Monthly Maintenance Fees actually paid by You to HL Hunt during the six (6) months immediately preceding the claim; or
  • Five Hundred Dollars ($500.00).

15.3 Exclusion of Liability for Third Parties

  • HL Hunt is not liable for any acts, omissions, decisions, or policies of any credit bureau.
  • HL Hunt is not liable for any credit decisions made by any lender, creditor, or financial institution.
  • HL Hunt is not liable for any damages caused by third-party products, services, or information.

16. Indemnification

16.1 Indemnification Obligation

  • Your breach of any term of this Agreement.
  • Your violation of any applicable law or third-party right.
  • Your use or misuse of the Marketplace or Credit Line.
  • Any fraud, misrepresentation, or misconduct by You.
  • Any dispute between You and any third party.

17. Dispute Resolution and Arbitration

THIS SECTION CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER.

Arbitration Agreement

BY ACCEPTING THIS AGREEMENT, YOU AGREE TO RESOLVE ALL DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION AND WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS.

  • Arbitration shall be administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules.
  • Arbitration shall take place in Louisville, Kentucky, or at another location mutually agreed upon.
  • The arbitration shall be conducted by a single arbitrator selected in accordance with AAA rules.
  • The arbitrator shall apply Kentucky law and this Agreement.
  • The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.
  • The arbitrator shall have no authority to award punitive damages or to modify any term of this Agreement.

18. Intellectual Property

18.1 HL Hunt Intellectual Property

  • All content, technology, designs, trademarks, service marks, trade names, logos, and other intellectual property within the HL Hunt Marketplace and platform are the exclusive property of HL Hunt Inc.
  • Unauthorized reproduction, redistribution, scraping, or copying of any content is strictly prohibited.
  • You are granted no license or right to use any HL Hunt intellectual property except as expressly authorized in writing.

19. Privacy and Data Security

19.1 Privacy Policy

  • Your use of the Marketplace and Credit Line is subject to HL Hunt's Privacy Policy, available at www.hlhunt.org/privacy.
  • By using our services, You consent to the collection, use, and disclosure of Your information as described in the Privacy Policy.
  • HL Hunt may share Your information with credit bureaus, service providers, and as required by law.

19.2 Data Security

  • HL Hunt implements reasonable security measures to protect Your personal and financial information.
  • No system is completely secure, and HL Hunt cannot guarantee absolute security of Your information.
  • You are responsible for maintaining the security of Your account credentials.

20. Amendments and Modifications

20.1 Right to Amend

  • HL Hunt reserves the right to modify these Terms at any time, in its sole discretion.
  • Material changes will be communicated via Your user dashboard, email, or other reasonable means at least thirty (30) days before taking effect.
  • Your continued use of the Marketplace or Credit Line after the effective date of any amendment constitutes acceptance of the amended Terms.
  • If You do not accept amended Terms, You must terminate Your membership before the effective date.

All legal notices, including notices of dispute or claim, must be sent in writing to the mailing address above. Email communications do not constitute valid legal notice unless expressly agreed in writing by HL Hunt.

Acknowledgment and Acceptance

BY ENROLLING IN AN HL HUNT MEMBERSHIP, ACCESSING THE MARKETPLACE, ACCEPTING A CREDIT LINE, OR OTHERWISE USING OUR SERVICES, YOU ACKNOWLEDGE AND AGREE THAT:

  • You have read and understand this entire Agreement, including all disclaimers, limitations, and waivers.
  • You voluntarily agree to be bound by all terms and conditions set forth herein.
  • You understand that the MONTHLY MAINTENANCE FEE is a separate obligation that DOES NOT reduce or apply toward Your CREDIT LINE BALANCE.
  • You understand that Your CREDIT LINE BALANCE must be paid separately through voluntary BALANCE PAYMENTS.
  • You understand that the Credit Line may ONLY be used within the HL Hunt Marketplace.
  • You understand that NO CREDIT SCORE INCREASE IS GUARANTEED.
  • You understand that NO CREDIT BUREAU POSTING IS GUARANTEED.
  • You understand that NO CREDIT APPROVAL FROM THIRD PARTIES IS GUARANTEED.
  • You agree to the binding arbitration provision and class action waiver in Section 17.
  • You waive Your right to a jury trial.
  • You have had the opportunity to consult with legal counsel before accepting these Terms.
